The ClipynTerms of Service

By accessing or using Clipyn, you confirm that you have read, understood, and agree to be bound by these Terms and any policies or guidelines expressly incorporated by reference. If you are using the service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the service.

You must be legally capable of entering into a binding agreement to use the service. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials.

• Provide accurate, complete, and current registration information.
• Promptly update your account details when information changes.
• Notify us immediately of unauthorized access or suspected security incidents.
• Ensure your use of the service complies with applicable laws and internal company policies.

Clipyn provides software and related services that may include AI video creation workflows, creative automation, collaboration features, integrations, APIs, AI-assisted tools, and other product functionality that we make available from time to time.

Certain features may be subject to additional terms, product-specific documentation, usage limits, or fair-use restrictions. We may continue to improve, modify, replace, or discontinue parts of the service in line with product development, legal requirements, and operational needs.

Paid plans may be offered on a subscription basis or under a separate order form. Unless otherwise stated in writing, fees are quoted in U.S. dollars and are non-refundable except where required by law.

• You authorize us to charge the payment method associated with your account for all applicable fees, taxes, and renewals.
• Subscription periods may renew automatically unless canceled in accordance with your plan terms.
• We may suspend paid features for overdue amounts after providing reasonable notice.
• You are responsible for any sales, use, value-added, withholding, or similar taxes except taxes based on our net income.

You may use the service only in compliance with these Terms, applicable law, and any documentation, usage limits, or policies we provide. You may not misuse the service or help others do so.

• You agree not to engage in any of the following prohibited activities:
• a. Reverse engineer, probe, or interfere with the platform or underlying systems:
• b. Upload malware, harmful code, or content designed to disrupt service integrity.
• c. Use the service to violate law, infringe rights, or misappropriate confidential information.
• d. Automate abusive access, scrape data at scale, or bypass usage restrictions or rate limits.
• e. Generate or distribute deceptive, fraudulent, harassing, or harmful content through the service.
• f. Use the service to build or benchmark a competing product without our prior written consent.

The service, including its software, interfaces, design, visual elements, trademarks, logos, documentation, and underlying technology, is owned by Postly Technologies, Inc. or its licensors and is protected by intellectual property and other applicable laws.

Except for the limited rights expressly granted in these Terms, no rights, title, or interest in the service or our intellectual property are transferred to you.

You retain ownership of content, data, files, prompts, inputs, and other materials you submit, upload, or transmit through the service (“User Content”). You grant us a worldwide, non-exclusive, limited license to host, store, process, reproduce, modify as technically necessary, transmit, and display User Content solely for the purpose of operating, securing, maintaining, improving, and providing the service.

You represent and warrant that you have all rights necessary to provide User Content to us and that your User Content, and your use of the service, will not violate applicable law or third-party rights.

Our collection and use of personal information is described in our Privacy Policy. While we use commercially reasonable administrative, technical, and organizational safeguards designed to protect the service and customer data, no system is entirely secure and we cannot guarantee absolute security.

• We may monitor usage to detect abuse, security threats, fraud, and policy violations.
• You remain responsible for configuring permissions, integrations, and internal access controls appropriately.
• You should maintain backups of critical data where appropriate for your workflows and compliance obligations.

The service may interoperate with third-party products, websites, APIs, integrations, or content. Your use of third-party services is governed by their own terms and privacy practices, not ours. We are not responsible for third-party services and do not endorse or warrant them unless expressly stated.

Certain features may use artificial intelligence or machine learning to generate suggestions, summaries, transformations, recommendations, or other outputs. AI outputs may be probabilistic, incomplete, biased, inaccurate, or inappropriate for a given context.

• You are responsible for reviewing and validating AI-generated outputs before use.
• You must not rely on AI outputs as a substitute for legal, financial, medical, compliance, or other professional advice.
• We may use service data to improve automated features where permitted by law, contract, and our privacy commitments.

We may update, improve, change, or discontinue all or part of the service at any time. We do not guarantee uninterrupted availability, error-free operation, or that every feature will remain available forever.

From time to time, the service may be unavailable due to maintenance, upgrades, outages, security events, internet failures, or factors beyond our reasonable control.

You may stop using the service at any time. We may suspend or terminate your access, in whole or in part, immediately or upon notice, if we reasonably believe you have violated these Terms, created risk for us or others, failed to pay fees when due, or if required by law.

Upon termination, the rights granted to you under these Terms will cease, but provisions that by their nature should survive termination will remain in effect, including provisions relating to payment obligations, ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSTLY TECHNOLOGIES, INC.DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, secure, error-free, or that defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL POSTLY TECHNOLOGIES, INC. OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You will defend, indemnify, and hold harmless Postly Technologies, Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your User Content, your misuse of the service, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Delaware, excluding its conflict of laws principles. Any dispute arising out of or relating to these Terms or the service will be resolved exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts.
